Terms of Service

By downloading, installing, creating an account, or otherwise accessing or using the Kardex mobile application (the App) or any related services (collectively, the Service), you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not download, install, or use the App. These Terms constitute a legally binding agreement between you (User) and Kardex App. You represent that you are at least 18 years of age and legally capable of entering into this agreement.

Kardex is a vehicle management platform that enables users to: (a) record and track vehicle maintenance history, fuel consumption, and operating expenses; (b) receive AI-generated vehicle health assessments and predictive maintenance recommendations; (c) generate certified PDF vehicle history reports; (d) transfer vehicle history digitally via QR codes; and (e) locate nearby fuel stations and service centers. The App is available for iOS 15.0+ and Android 9.0+. Kardex reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, and without liability to you.

To access core features, you must create an account using a valid email address or through supported third-party authentication providers. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your account information; (c) keep your credentials strictly confidential; (d) immediately notify us of any unauthorized use of your account; and (e) accept responsibility for all activities conducted under your account.

You may delete your account at any time by navigating to Settings > Account > Delete Account within the App. Upon account deletion, we will remove or anonymize your personal data within 30 days, subject to our data retention obligations under applicable law. Kardex reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Certain features require a paid subscription (Kardex Premium). Subscriptions are processed exclusively through the Apple App Store or Google Play Store. By initiating a subscription, you authorize the applicable Store to charge your payment method on a recurring basis.

FREE TRIAL: If you initiate a free trial, you will not be charged during the trial period. Your subscription will automatically convert to a paid subscription at the end of the free trial unless you cancel at least 24 hours before the trial period expires. Cancellation of a free trial will not result in a charge.

AUTO-RENEWAL: Subscriptions automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the renewal date. You may manage and cancel your subscription at any time through your Store account settings: Apple: Settings > [your name] > Subscriptions; Google: Play Store > Account > Subscriptions.

REFUNDS: All purchases are final. Refunds are governed by the applicable Store's refund policy. Kardex does not directly process refunds. If you believe you are entitled to a refund, please contact Apple or Google support directly.

PRICE CHANGES: We may change subscription prices at any time. Price changes will take effect at the start of the next billing cycle following notice to you.

Kardex uses artificial intelligence and machine learning models to provide vehicle health assessments, maintenance predictions, cost estimates, and personalized recommendations (collectively, AI Recommendations). You expressly acknowledge and agree that:

BY USING AI FEATURES, YOU ASSUME ALL RISK ASSOCIATED WITH RELIANCE ON AI-GENERATED CONTENT AND RELEASE KARDEX FROM ANY LIABILITY RELATED THERETO.

• AI Recommendations are provided FOR INFORMATIONAL PURPOSES ONLY and do not constitute professional mechanical, engineering, or safety advice.
• AI Recommendations may be inaccurate, incomplete, or inapplicable to your specific vehicle or circumstances. Accuracy depends on the completeness of data you provide.
• AI systems can produce errors, including plausible-sounding but factually incorrect information. You must independently verify all AI Recommendations before acting on them.
• Critical maintenance and safety decisions including brake systems, tires, steering, and electrical systems MUST be evaluated by a certified automotive technician.
• Kardex is NOT liable for any vehicle damage, personal injury, property damage, or financial loss arising from reliance on AI Recommendations without professional verification.
• Gas station location data and availability are provided as-is and may not reflect real-time conditions or current prices.

You retain ownership of all vehicle data, maintenance records, photographs, and other content you submit through the App (User Content). By submitting User Content, you grant Kardex a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze such content solely to provide and improve the Service. You represent that your User Content does not infringe any third-party rights and does not contain false or fraudulent vehicle history information. Kardex may use aggregated, anonymized User Content to train and improve AI models.

The App, including all software, algorithms, designs, text, graphics, logos, and trademarks (excluding User Content), is owned by or licensed to Kardex and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App solely for personal, non-commercial purposes. You may not: (a) copy, modify, or create derivative works; (b) reverse engineer or decompile the App; (c) remove proprietary notices; (d) sublicense or sell your license; or (e) use the App commercially without prior written consent.

You agree not to use the Service to: (a) violate any applicable law or third-party rights; (b) submit false, fraudulent, or misleading vehicle data; (c) attempt unauthorized access to the Service or related systems; (d) use automated bots or scrapers to extract data; (e) transmit malware or harmful code; (f) impersonate any person or vehicle ownership; (g) circumvent security features; (h) facilitate fraud including odometer tampering or misrepresentation of vehicle history; or (i) engage in conduct that disrupts or damages the Service.

THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. Kardex does not warrant that: (a) the Service will be uninterrupted or error-free; (b) defects will be corrected; (c) AI Recommendations are accurate or reliable; or (d) the Service meets your specific requirements. Some jurisdictions do not allow exclusion of implied warranties, so some exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KARDEX AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING VEHICLE DAMAGE, LOSS OF PROFITS, DATA LOSS, PERSONAL INJURY, OR PROPERTY DAMAGE. IN NO EVENT SHALL KARDEX'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO KARDEX IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.

You agree to indemnify, defend, and hold harmless Kardex and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) any claim that your User Content infringes a third party's rights.

Kardex may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your license to use the App ceases immediately and Sections 5, 7, 9, 10, 11, and 14 survive. You may terminate your account at any time through App Settings. Termination does not entitle you to a refund of any prepaid subscription fees.

Kardex reserves the right to modify these Terms at any time. Material changes will be communicated through in-app notifications or email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and delete your account before the changes take effect.

These Terms are governed by applicable laws without regard to conflict of law principles. You and Kardex agree to attempt to resolve any dispute informally for 30 days before initiating formal proceedings. Any unresolved dispute shall be submitted to binding arbitration conducted in English or Spanish. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
